PAYZO VENDOR AGREEMENT

This Vendor Agreement ("Agreement") is entered into between Bissi Yaazi Technologies Private Limited ("Payzo", "Company", "We", "Us", or "Our") and the business or individual registering as a Vendor ("Vendor", "You", or "Your").
By creating a Vendor account or registering your business on the Payzo Platform, you confirm that you have read, understood, and agreed to the terms of this Agreement.
1. Vendor Registration
To register as a Vendor, you must provide accurate and complete business information, including your business name, contact details, business images, bank account details, and any other information requested by Payzo.
You are responsible for ensuring that all information provided is true, accurate, and up to date.
2. Business Verification
Every business submitted on the Payzo Platform is reviewed before approval.
- Business verification is generally completed within 24 hours.
- During verification, your business status will remain Pending.
- If your business information is approved, your account will become Active.
- If your business information is rejected, you may edit the details and resubmit them for review. There is no fixed limit on resubmissions, provided the submitted information complies with Payzo's requirements.
Payzo reserves the right to reject any business registration that contains false, misleading, incomplete, inappropriate, or inaccurate information.
3. Business Profile
Once approved, your business will become visible on the Payzo Platform.
You are responsible for ensuring that your business information remains accurate. If you update your business details, the updated information may require verification before it becomes visible to customers.
4. Offers and Discounts
Approved Vendors may create offers and customer discounts through the Vendor Dashboard.
- Every offer or discount submitted is subject to Payzo's approval.
- Offer verification is generally completed within 24 hours.
- If an offer is rejected, you may modify and submit it again.
- Payzo reserves the right to reject or remove any offer that is inaccurate, misleading, unlawful, or violates this Agreement.
5. Payments and Withdrawals
Customers make payments through the Payzo Platform using supported payment methods.
After a successful transaction:
- The transaction amount is reflected in your Vendor Dashboard.
- You may request withdrawal of your available balance at any time through the Platform.
- The bank account details provided by you must be accurate and belong to your registered business or authorized account holder.
- Payzo shall not be responsible for delays caused by banks, payment gateways, or other third-party financial service providers.
6. Vendor Dashboard
Approved Vendors will have access to a dashboard that may include:
- Available Balance
- Transaction History
- Withdrawal History
- Customer Analytics
- Offer Analytics
- Campaign Analytics
- QR Reports
- Cashback Reports
- Other business insights introduced by Payzo from time to time.
7. Vendor Responsibilities
As a Vendor, you agree to:
- Provide only genuine and accurate business information.
- Honour all approved offers and discounts published on the Platform.
- Keep your bank details and business information updated.
- Maintain the confidentiality of your login credentials and account access.
- Ensure that only authorized persons access your Vendor account.
- Comply with all applicable laws and regulations while using the Platform.
Any action performed using your Vendor account will be considered authorized by you unless proven otherwise.
8. Account Security
You are solely responsible for protecting your account password, OTPs, and login credentials.
Payzo shall not be responsible for withdrawals, transactions, or account activity resulting from unauthorized access caused by sharing your credentials with employees, managers, family members, or any other person.
9. Marketing and Business Representation
By registering your business on Payzo, you grant Payzo permission to use your:
- Business Name
- Business Logo
- Store Images
- Promotional Images
- Offers
- Business Description
for displaying your business within the Payzo Platform and for marketing, advertising, promotional campaigns, social media, digital advertisements, and other business-related purposes.
Ownership of your business remains with you.
10. Platform Availability
Payzo aims to maintain approximately 99% Platform availability.
Scheduled maintenance, technical upgrades, payment gateway interruptions, internet failures, or events beyond Payzo's reasonable control may temporarily affect Platform availability.
11. Customer Support
Payzo will make reasonable efforts to respond to Vendor support requests within the following timeframes:

12. Suspension and Termination
Payzo may temporarily suspend or permanently terminate a Vendor account if the Vendor:
- Provides false or misleading information.
- Misuses the Platform.
- Engages in fraudulent activities.
- Repeatedly refuses to honour approved customer offers or cashback benefits.
- Violates this Agreement or applicable laws.
- Receives repeated verified complaints from customers.
Payzo's decision regarding suspension or termination shall be final where necessary to protect customers or the Platform.
13. Limitation of Liability
Payzo shall not be responsible for:
- Loss of profits or business opportunities.
- Internet failures.
- Bank delays.
- UPI or payment gateway downtime.
- Third-party technical failures.
- Events beyond Payzo's reasonable control.
Where a technical issue occurs within the Payzo Platform, Payzo will make reasonable efforts to investigate and resolve the issue.
14. Privacy and Data
Business information submitted by Vendors will be handled in accordance with Payzo's Privacy Policy.
Payzo may use business information for operating the Platform, customer discovery, analytics, marketing, and improving its services.
15. Changes to this Agreement
Payzo reserves the right to modify this Agreement at any time.
Updated versions will be published on the Platform, and continued use of the Vendor account after such updates constitutes acceptance of the revised Agreement.
16. Governing Law
This Agreement shall be governed by the laws of India.
Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Visakhapatnam, Andhra Pradesh.
17. Acceptance
By creating a Vendor account, registering your business, or using the Vendor services provided by Payzo, you confirm that you have read, understood, and agreed to be bound by this Vendor Agreement.
